Marc Laredo Authors Case Comment in Massachusetts Law Review

Marc Laredo authored a case comment for the Massachusetts Law Review’s August 2021 issue. The comment is entitled, “The Attorney-Client Privilege and the Work Product Doctrine in the Context of an Internal Investigation: Attorney General v Facebook, Inc., 487 Mass.109 (2021).”

In this comment, Marc covers when the attorney-client privilege and the work product doctrine allows an entity to shield information gathered in the course of the entity’s attorney-led internal investigations from discovery. The comment discusses the underlying facts and procedural history of the case, presents an overview of the attorney-client privilege and work product doctrine, reviews and analyzes the decision, and examines its practical implications for practitioners.

Marc Laredo & Payal Salsburg Speak on Transfer of Ownership in Privately-Held Business

Marc Laredo and Payal Salsburg are speakers for an upcoming Boston Bar Association Virtual CLE program entitled, “Planning for the Transfer of Ownership and Operating Control of a Privately-Held Business from One Generation to the Next.”  The program will focus on planning for the transfer of ownership and operating control of a privately held business from one generation to the next. The panelists will emphasize the importance proactive lawyers who advising clients in the areas of Corporate, Estate Planning, Real Estate, Employment, Tax and Ethics.  Marc will discuss corporate law issues, including the fiduciary duty of stockholders in privately held companies. Payal will cover ethical issues related to the complex transitions. This virtual program takes place on Thursday, April 29th from 3-5pm.

Marc Laredo Co-Chairs Program on Law Firm Reopening Plans and the Impact of COVID-19 on Future Work

Marc Laredo is the co-chair of a timely Boston Bar Association program entitled, “Law Firm Reopening Plans and the Impact of COVID-19 on the Future of Work.”  The conversation is being held in a roundtable style on February 24th at 4pm. Marc will help facilitate an important discussion on the immediate concerns and considerations firm leaders face regarding law firm reopening in the era of COVID-19. The group will include conversation about the longer term impacts of the pandemic related to the future of the legal profession. The panelists will also share the results of a recent survey sent to regional managing partners about the reopening plans for their firms as well as the best practices related to back-to-the-office concerns and COVID vaccination requirements. Finally, the group will discuss the ethical challenges presented to firm leadership during these difficult times.

Marc Laredo Authors Mass Law Review Article: Shareholder Duties and Disputes in Closely-Held Corporations in Massachusetts Revisited

Marc Laredo published an article for the Massachusetts Bar Association’s publication Massachusetts Law Review, Volume 99, No. 3.  The article is entitled: “Shareholder Duties and Disputes in Closely-Held Corporations in Massachusetts Revisited.”  Marc discusses recent changes applied to long-time principles in this area of law. He states, “over the past decade, while the fundamental principles have remained the same, Massachusetts courts have refined and built upon principals and addressed previously unresolved issues.”

Marc Laredo spoke for a Boston Bar Association CLE program entitled, “Small Businesses, Big Headaches: Ethical and Practical Challenges in Representing Closely-Held Businesses” in February 2018.  The distinguished panel of litigators and transactional lawyers addressed the special ethical and practical challenges facing attorneys whose practices involve closely held businesses.  Among the topics covered will be:

  • Impact of recent case law, including the WilmerHale,Cesari McKenna and Abrano decisions;
  • Identifying the clients and fiduciary duties owed to them;
  • Engagement letters: forming and terminating the attorney-client relationship;
  • Hot Potato withdrawals of representation;
  • Navigating conflicts among principals, including litigation and alternative dispute resolution; and
  • Representation of stakeholders in unrelated matters – potential future conflicts.
