Laredo & Smith is pleased to announce that Marc Laredo, Mark Smith and Matthew Kane have been named to the 2016 Massachusetts Super Lawyers.  Marc Laredo was named to the Business Litigation list, Mark Smith has been recognized for his work in the White Collar Crime category and Matt Kane was honored as a Rising Star in Business Litigation.

Super Lawyers is a rating service for lawyers from more than 70 practice areas. To be included in the list, attorneys must attain a high-degree of peer recognition and professional achievement. The selection process includes independent research, peer nominations and peer evaluations. Rising Stars are selected using the same criteria as Super Lawyers, but each attorney must be either 40 years old or younger, or in practice for 10 years or less. This recognition is awarded to no more than 5% of lawyers in the state.

Marc Laredo Chairs Program on Privilege

Marc Laredo served as the program chair for the recent Mass Bar Association CLE program entitled, “It’s Confidential– Privilege Law in Massachusetts”.  The program focused on a variety of privileges, including the attorney-client, spousal, parent-child, peer review, doctor-patient, common interest and joint defense privileges.  The panel explained the concept of each privilege, providing practical tips for successfully asserting and defeating privilege claims.

The discussion will include selecting the proper type of entity; the appropriate structure of funding; the importance and type of written agreements and other documents for owners; and tax compliance, as well as practical guidance on how to handle disputes that do arise.

CPAs need to understand the rights and obligations that shareholders of closely-held businesses in Massachusetts owe to one another. CPAs also play a critical role in helping shareholders craft agreements and resolve disagreements among themselves. This article provides an overview of the legal framework in which closely-held corporations in Massachusetts function, including the definition of a closely-held corporation, the general rules that govern the shareholders of these entities, the importance of careful planning to avoid disputes among shareholders, and available remedies when disputes do arise.
